Exelo — Terms of Service

1. Who we are

Exelo ("Exelo," "we," "us") is a software platform operated by Logistical Innovations, Corporation, a California corporation based in San Diego, California, doing business as AI Exelion. These Terms govern your use of exelo.ai and the Exelo partner platform (the "Service"). By creating an account or using the Service, you agree to these Terms. If you're using the Service on behalf of a company, you're agreeing for that company.

2. What the Service is

Exelo is a business platform that lets you (a "Partner"):

The Service is for business use by adults 18 or older. It is not for personal, household, or consumer use.

3. Your account

Keep your login credentials secure and your account information accurate. You're responsible for activity under your account. We may suspend or terminate accounts that violate these Terms.

AI lines run on third-party voice and telephony accounts that you create, own, and pay for directly. When you connect those accounts:

AI lines may record, transcribe, and summarize phone calls. Call-recording and monitoring laws vary by jurisdiction, and some (including California) require the consent of all parties to a call.

You are solely responsible for legal compliance of the calls your AI lines handle, including: ensuring any required recording disclosures or consents are given (for example, in the AI line's greeting), complying with the laws of your jurisdiction and your callers' jurisdictions, and having the authority to deploy an AI line for any business you deploy it for. Exelo provides tools; you are the operator of record for how they're used.

7. Your clients and their callers

If you deploy AI lines for client businesses, your relationship with those clients is yours: you're responsible for having their authorization, for what you promise them, and for handling their data (including their callers' data) lawfully. 8. XRAY reports are estimates

XRAY reports are automated estimates and opinions generated from publicly available information. They are not audited figures, not statements of verified fact about any business, and not a promise of results. You agree not to present XRAY outputs as verified facts or guaranteed outcomes, and not to use them to harass or disparage any business.

9. No earnings claims

Exelo is a tool. We make no guarantee of revenue, clients, or business results. Any figures shown in the Service or our materials (pricing examples, typical margins, estimated leaks) are illustrative estimates that depend on factors we don't control, including your own effort and market conditions.

10. Acceptable use

You agree not to use the Service to: break the law; violate telemarketing, robocall, or telecommunications rules; deceive callers in ways prohibited by law; infringe others' rights; probe, overload, or attack the Service; resell or white-label the Service without a written agreement; or scrape or bulk-extract data outside intended features.

11. AI limitations — not an emergency service

AI receptionists are automated systems. They can mishear, make mistakes, or respond imperfectly. The Service is not an emergency service and must not be relied on as one. AI lines are configured to direct callers with emergencies to appropriate emergency channels (such as 911), but you and your clients remain responsible for real-world emergency handling.

12. Your data and our platform

You own the data you put into the Service and the call data your AI lines generate. You grant us a license to host, process, and display that data as needed to run the Service (including generating transcripts, summaries, and alerts). We own the Service itself — software, design, XRAY, and all platform IP. Feedback you send us may be used without obligation.

13. Disclaimers

The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that AI outputs will be accurate.

14. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data; and our total liability for all claims relating to the Service is capped at the amounts you paid us in the 12 months before the claim (or $100 if you paid nothing). Some jurisdictions don't allow certain limits, so parts of this may not apply to you.

15. Indemnification

You will defend and indemnify us against claims arising from your use of the Service, your AI lines and the calls they handle, your relationships with client businesses and callers, your violation of law (including recording-consent laws), or your breach of these Terms.

16. Termination

You may close your account anytime. We may suspend or terminate accounts for breach, unlawful use, or risk to the Service, with notice where practical. On termination, your right to use the Service ends; Sections 8–15 and 17–18 survive. Resources on your own provider accounts remain yours (Section 4).

17. Changes to these Terms

We may update these Terms. For material changes we'll give notice (for example, by email or in-app) before they take effect. Continued use after the effective date means you accept the updated Terms.

18. Governing law and disputes

These Terms are governed by California law. Disputes will be resolved in the state or federal courts located in San Diego County, California, and you consent to their jurisdiction.
